EOOD is a company with share capital, whose capital is divided into shares and the creditors cannot be satisfied by the personal property of the sole owner of the capital. The capital of EOOD cannot be less than 2 leva (1 EUR). EOOD is a variation of the Limited Liability Company (OOD). The registration of EOOD is established by a natural or legal person and instead of making a Memorandum of Incorporation, a Founding Act is formed. The Founding Act must comprise certain executable necessities under the Commerce Act.

Limited Liability Company The Limited Liability Company (OOD) can be established by two or more persons, who are responsible for the company with their share contribution in the company’s capital. Founders can be legal persons and legally capable natural persons. The Limited Liability Company is a company with share capital and its capital is divided into shares. The capital of OOD consists of partners’ share contributions and under the amendments to the Commerce Act the minimum capital for the registration of OOD is 2 leva (1 EUR). The sign-board of the company must contain the name “Limited Liability Company” or its abbreviation “OOD”. The property of the partnership is separate from that of the partners.
